Governing Law and Jurisdiction

Brokers & Regulation

The two clauses naming which law reads the contract and which courts hear a dispute, and why they set the value of every other clause.

Governing law and jurisdiction are the two short clauses naming, respectively, which country's law the agreement is read under and which courts hear a dispute arising from it. They are usually the least-read paragraphs in the document and they decide the practical value of every other paragraph, because a clause means what that law says it means, and a right is worth what it costs to enforce where the clause sends you. They are worth reading alongside the name of the entity you are contracting with, because the three do not have to line up. A group can operate several companies, and the one named in your agreement determines which authorisation covers the account, which complaints route is open and which law governs it. Those usually match, but the pairing is a fact stated in the document rather than something to be inferred from the brand on the website, and it is checkable before a deposit rather than after a dispute — at which point it has already decided where, and at what cost, the argument happens.
